Brookland Bros. Entertainment has been in the adult entertainment business for over 30 years. Our film and video production company is based in Portland and we have produce content around the world for companies such as The Playboy Channel, Penthouse, ShowTime, Hustler, Clips4sale, Pornhub, XHamster, American Hotel Motel, Pay-Per-View, Cox Cable, ATT Cable, Hilton Systems, Marriott Corp and dozens of websites and adult media platforms. We take pride in our level of high-quality productions through our scripts, our crews, and our choice of talent and locations. Brookland Bros is looking for content/model partners to join us in offering the very best to the world.
There are two different ways to work with us when shooting adult content, you can be hired as a contractual model and get paid a flat fee for each scene you shoot, or you can get paid an hourly rate for your time on the set and then own 25% of the gross worldwide sales of the content for the rest of your life. Basically, partnering with Brookland and owning a slice of the pie for eternity.
We also do social media partnerships, allowing you to do what is best and that is be beautiful and sexy and we take care of the back end of posting and managing social media platforms for you like Facebook, TicTok, Twitter, OnlyFans and more. We only take a reasonable cut of the gross sales to cover management costs and you get to keep the rest. In most cases for the social media partnership, we would need you 1-2 days a month for 4-6 hours to shoot what we need, and you are compensated for your valuable time on the day of the shoot. Depending on the platform most content is rated PG13 with a touch of sexiness and humor, but OnlyFans would require more.
Brookland Bros also has access to custom video sites where customers custom order a scene with you in it and you set the price. Each video is for private use only and the transaction is set with legal ramifications if the buyer breaks that agreement. After 6-8 months that clip could then with your permission be put into general circulation and you as the model would get paid a second round based on sales.
Finally in merchandise sales. There is a huge market for used undergarments like panties, stockings, and bras that clients from around the world buy for personal reasons. As a model you are paid a flat fee to wear the article for a day and then package it up and Brookland handles all the marketing, customer service and sales. In addition to the flat fee you are paid up front you also will receive a percentage of the sale once the item is shipped.

MANAGEMENT / PRODUCTION AGREEMENT
This Agreement is made and entered into this _____ day of ________, 2023, between Brookland Bros Film Group, LLC a.k.a. Brookland Bros Ent an Oregon corporation (hereafter the “Manager”), and YOUR NAME HERE. (hereafter “Artist”).
1 RECITALS
Artist wishes to obtain advice, guidance, counsel and direction in the development and furtherance of Artist’s career as a performer/character created by Manager and in such new and different areas as Artist’s artistic talents can be developed and exploited. Manager, by reason of Production Company / Manager’s contacts, experience, and background, is qualified to render such advice, guidance, counsel, and direction to Artist. THEREFORE, in consideration of the mutual promises herein contained, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows regarding all content and merchandise produced and distributed by Brookland Bros.
2 Manager’s Responsibilities
Artist hereby engages Manager to represent Artist and to render Manager’s services to Artist as Artist’s sole and exclusive video content manager under the Brookland Bros name and for any content and merchandise produced or distributed by Manager. Manager hereby accepts such engagement, and as part of and in connection with Manager’s services hereunder, Manager shall advise and counsel Artist, and shall use all reasonable efforts to develop and advance the professional career of Adult Film/Video Entertainment Artist.
Manager further agrees that on behalf of Artist, Manager will represent Artist in all adult video dealings with any union, and act as Artist’s negotiator with any booking agency, employer or user of entertainment, will fix the terms governing all manner of disposition, use, employment or exploitation of Artist’s talents and the products thereof, and Manager is hereby authorized to sign Artist to booking agents of Manager’s choice, subject to Artist’s prior approval for video productions. Manager will also cover all production costs for adult video productions and merchandise to be sold on Artist and Manager’s websites.
If requested, Brookland Bros Film will help set up an LLC to limit Artist’s liability and establish a corresponding bank account to protect Artist’s assets.

2.1 Third Party Sites
Brookland Entertainment can setup accounts (i.e. profile, channel, page, etc) on third party web platforms (such as YouTube, TikTok, PornHub, etc) and manage day-to-day operations in exchange for a 25% cut of gross sales. Brookland is willing to give ‒ at no cost to Artist ‒ edited versions of their adult shoots to post to adult sites ( PornHub, etc). Brookland can also produce non-explicit content for mainstream sites (YouTube, TikTok, etc) to generate traffic and sales for premium content. Brookland Entertainment will provide clips to artist and artist will in return send Brookland Entertainment 25% of sales for only the clips it provided.
2.2 Availability of Manager
Manager shall not be required to travel or meet with Artist at any place or places, and any such travel shall be at Manager’s discretion. If Manager and/or its employees do travel with Artist, provided that such travel is at Artist’s request or with Artist’s consent, then Manager’s and Manager’s employees’ reasonable travel, hotel, and living expenses shall be paid by Artist, or reimbursed to Manager by Artist, and shall not be considered compensation to Manager under this Agreement, nor deducted from gross earnings for calculation of Manager’s commission hereunder.
2.3 Manager’s Representation of Other Artists
Manager is not required to render exclusive services to Artist, or to devote all or substantially all of Manager’s time to Artist’s affairs. Manager will, however, be reasonably available to Artist to perform all of the services specified in this Agreement.
2.4 Costs and Expenses Advanced by Manager
Manager is not required to make any loans or advances to Artist, or for Artist’s account, or to incur any expenses on Artist’s behalf. In the event Manager does advance funds and/or incur expenses on Artist’s behalf, Artist’s prior written consent will be required for all such expenses more than one hundred (100) dollars per month. Artist shall promptly repay Manager any amounts so advanced, and further authorizes Manager to deduct any such amounts from any sums Manager may receive by virtue of Section 5 of this Agreement, subject to a bona fide accounting and documentation of all such deductions. Manager may also recoup such amounts from any monies due to Artist under any other agreement between Artist and Manager, or any individual or entity affiliated with Manager.
2.5 Limitations
Manager hereby advises Adult Film/Video Artist that it is not a licensed talent agent, attorney, nor accountant but is active solely as a personal manager. Artist shall choose and employ Artist’s own agent, attorney, and accountant.
2.5.1 Talent Agent
The Manager is not licensed as a talent agent under the Labor Code of the State of Oregon (or any other state), or as a theatrical agent under the General Business Law of the State of Oregon (or any other state). Manager has at all times advised Artist that it is not licensed to seek or obtain employment or engagements for Artist and that Manager does not agree to do so, and Manager has made no representation to Artist, either oral or otherwise, to the contrary regarding all Brookland Bros Ent content and productions.

2.5.2 Legal Advice
Brookland can offer basic legal and business advice to help Artist if requested at no charge. Manager may, if requested by Artist, obtain the services of an entertainment attorney, at Artist’s expense, to assist Artist in Artist’s career.
However, Manager is being retained by Artist as a personal manager only for BBEnt content and is not as an attorney at law. Manager has made no representations of any kind that Manager is obligated in any way to render legal opinions or services to Artist.
2.6 Manager’s Interest in Artist’s Career
Artist agrees and understands that the power of attorney granted to Manager is coupled with an interest which Artist irrevocably grants to Manager in Artist’s career (subject to this Agreement), and the earnings and other products of Artist’s career arising by virtue of Artist’s endeavors in the entertainment industry during the term of this Agreement.
2.7 Artist is an Independent Contractor
Artist understands that Manager and Artist are acting hereunder as independent contractors, and this Agreement shall not be construed to create a partnership, joint venture, or other relationship between the parties other than independent contractors.
2.8 Exclusive Representation of Artist
Artist shall not engage and/or utilize any other person, firm, corporation, or other entity, to act in the capacity of Artist’s personal manager or representative as herein provided during the term of this agreement for content produced by Manager or distributor through Manager’s existing sales/distribution channels.
3 Artist Duties
3.1 Artist’s Best Efforts
Artist hereby accepts such engagement, and as part of and in connection with Manager’s services hereunder to do and maintain the following within a timely fashion and mannor:
1. Be physically fit and healthy.
2. Refrain from drugs that detrimentally impact performance on shoot days and support workdays.
3. Show up on time and be professional.
4. Communicate in a timely fashion via text, phone, or email.
5. Work with Manager to actively keep adult social media accounts current for the character: (Instagram, TicTok etc)
6. Update profile(s) with photos/video every 48 hours with announcements for new releases when needed and/or sending Manager photos and videos to support social media.
7. Respond to fans within 48 hours if self managing OF and other sites

8. Available at least 1-2 days a month for shooting and 1 day a month for support activities.
9. Provide copies of monthly STD and HIV tests
Artist agrees to exert Artist’s best efforts to further Artist’s professional career during the term of this Agreement, and to fully cooperate with Manager in the interest of promoting Artist’s career.

3.2 Artist’s Duties
Artist hereby accepts such engagement, and as part of and in connection with Manager’s services hereunder to do and maintain the following:
10. Set up an gmail.com email account under their character’s name.
11. Set up an Instagram, TicTok and Facebook social media accounts under their character’s name once photos have been taken and some social media clips have been produced to support social medial accounts.
12. Set up an Onlyfans.com, Manyvids.com, Fansley.com and Loyalfans.com accounts under their character’s name.
13. Create a Livejasmine.com account under their character’s name for future cross promotion and marketing once above sites have traffic. A location to live stream will be provided is needed.
14. Provide login info and passwords to BBEnt Management once accounts have been set up so that BBEnt Management can manage above listed sites.
Artist agrees to exert Artist’s best efforts to further Artist’s professional career during the term of this Agreement, and to fully cooperate with Manager in the interest of promoting Artist’s career.

Release of Liability

Be fully vaccinated and current on boosters unless BBent has waved that in writing.
Provide proof of passing an industry accepted gold standard sexually transmitted infection test within 30 days prior to shooting with any other talent.
Be current on birth control during sex scenes.
Artist
members of any responsibility/liability for accidental pregnancy or transmission of an STI under all circumstances.

4 Prior Management
Any commissions that may be payable to other managers previously retained or utilized by Artist, are solely Artist’s responsibility, and shall be payable solely from Artist’s share of gross earnings and shall not be deducted from gross earnings for the purpose of calculating Manager’s commission.
5 Manager’s Rights
During the term of this contract and extensions, renewals, substitutions, or modifications thereof, Manager is authorized and empowered by Artist to act on Artist’s behalf with power of attorney and as attorney-in-fact, at Manager’s discretion, to do the following pertaining to any production and distribution of content and merchandise:
1. Approve and permit all publicity and advertising concerning Artist.
2. Approve and permit all use of Adult Film/Video Artist’s name, photograph, likeness, voice, and literary, artistic, and musical materials, for purposes of advertising and publicity; and, provided prior consent is obtained, in the promotion and advertising of all products and services.
3. With Artist’s written consent, execute documents and contracts for Artist’s services, talents, and/or artistic, literary, and musical material, except that for one-night engagements and television guest shot appearances, Manager shall be required to obtain Artist’s prior consent.
4. Exercise on Artist’s behalf the right to examine and/or audit any books and records which Artist has the right to examine and/or audit pursuant to any contract which Artist may have for goods or services in the entertainment industry.
5. Present, on Artist’s behalf, letters of direction to all payors authorizing and directing those payors to pay all funds due to Artist from Artist’s endeavors in the entertainment industry, directly to Manager. It is understood by Artist that Manager shall receive all funds generated from Artist’s endeavors in the adult entertainment industry, from which Manager shall recoup any funds advanced by Manager to or on behalf of Artist, whether said funds were advanced prior to execution of this Agreement or during the term hereof, then deliver the remainder of said funds to Artist, after deduction of Manager’s compensation as defined in section 12 of this Agreement, within ten (10) days of Manager’s actual receipt of said funds.
6. Collect and receive any and all compensation paid to Artist as a result of Artist’s endeavors in the entertainment industry, including endorsing Artist’s name upon checks, receipts, or other documents necessary to effectuate such compensation; to cash checks, notes, or other negotiable instruments payable to Artist as a result of Artist’s endeavors in the adult entertainment industry; Artist expressly agrees that Artist will not exercise, on Artist’s own behalf, any of the powers herein granted to Manager by the foregoing power of attorney, without giving Manager prior written notification of the intention to exercise said powers, and obtaining Manager’s prior written approval for Artist’s exercise thereof.
5.1 Limitation on Manager’s Rights
It is expressly understood that the foregoing power of attorney as described in Section 5 of this Agreement, is limited to matters reasonably within the scope of Artist’s adult video career and other endeavors in the adult entertainment industry.

6 Compensation
6.1 Phase One and Two
During the term of this Agreement, Artist will be compensated 25% of all revenue from third party sites managed by Manager.
6.2 Phase One
For the first 6 months, Artist will be compensated:
1. An upfront flat fee rate of $25.00 an hour for social media, photos, softcore, faceless and solo.
2. An upfront flat fee rate of $35.00 an hour for hardcore video production work.
6.3 Phase Two
After phase one has passed (6 months) and sales reports are strong:
1. An upfront flat fee rate of $35.00 an hour for social media, photos, softcore, faceless and solo.
2. An upfront flat fee rate of $50.00 an hour for hardcore video production work.
6.4 Perpetual Residuals
Artist will receive 25% of net sales from content and merchandise produced or distributed by the Manager for perpetuity, after 3rd party fees and costs are covered, but not including in-house production costs or producer’s time and resources for life of the content.
6.5 Dispersal
Flat rate fees paid to Artist will be taken off the top of any gross sales before reporting and fund distribution takes place at the end of each month. When payments drop below $250.00 a month, quarterly reporting and distribution of funds will continue until there are $0 (Zero) sales.
With respect to any such related entities, Artist’s net monthly earnings shall be that portion of monies or other consideration paid or payable to Manager/Artist by such entity, and any portion of monies or other considerations reflecting Artist’s interest therein whether disbursed to Artist, and all such earnings shall be commissionable hereunder.
6.6 Accountings
Manager shall furnish to Artist monthly statements of all gross monies or other considerations paid to Artist or on Artist’s behalf during each calendar month, and all expenses and commissions deducted therefrom. All monthly statements shall be sent to the Artist within forty-five (45) days from the end of each calendar month. Notwithstanding the foregoing, in any calendar month where Artist receives no gross earnings, and where no debit or credit or change of any kind occurs as to Artist’s account from the previous accounting period, then in that case no accounting shall be due to Artist from Manager for that calendar month.
Artist shall have the right, at Artist’s expense, to inspect the books and records of Manager at any reasonable time upon reasonable notice, for the purpose of verifying Manager’s accounting of any sums necessary for determining payments made or owed by or to Artist or Manager under this Agreement.

Any itemized statement received by Artist hereunder shall be deemed accurate and an account stated if no specific written objection is made as to such statement within two (2) years of Artist’s receipt of such statement, and if no action is commenced within one (1) year of such written objection.
7 Term
The Initial Term of this Agreement shall be six (6) months from the effective date of this Agreement, and shall automatically renew for three (3) additional one-year periods (the “Extension Terms”) unless Artist provides written notice, no more than sixty (60) days and no less than thirty (30) days prior to the expiration of the Initial Term or the first Extension Term, that Artist does not wish to renew the Agreement, in which case the Agreement will terminate on the next anniversary of the effective date.
Upon termination of this Agreement, Manager will retain an income interest, pursuant to the terms of this Agreement, in all of Artist’s gross earnings which derive in any way from an agreement entered or substantially negotiated during the Initial Term and/or any Extension Term of this Agreement, as such agreement(s) may be extended, renewed, or renegotiated. This extension after termination is of Manager’s income interest hereunder only and is not an extension of any other terms of this Agreement. Termination of this Agreement will not affect any rights granted to the Manager by other than this Agreement.
8 Assignment
Manager may assign this Agreement, or any rights hereunder, to any parent, subsidiary, or individual principal of Manager, or to any successor in interest to substantially all the stock and/or assets of Manager, and Artist agrees to such assignment. Without limiting the foregoing, Artist understands that Manager may, from time to time, designate other persons to assist in the performance of the services to be rendered pursuant to this Agreement, without affecting in any way the rights of Manager or the obligations of Artist under this Agreement. All compensation payable to such other persons shall be the sole responsibility of the Manager.
9 Equitable Relief
Artist agrees that Artist’s services hereunder are of a special and unique character, and that in the event of a breach by Artist of any term, condition, warranty, or covenant contained herein, Manager will be caused irreparable injury and damage, and Manager shall be entitled to injunctive relief in addition to any remedies and damages otherwise available.
10 Contract Validity
A waiver of any provision or breach of this Agreement at any time shall not constitute a waiver of any other breach or provision, nor shall it constitute a waiver of the same provision or any other breach at any subsequent time. Any provision, clause, or term of this Agreement, which is deemed invalid or unenforceable, at law or otherwise, shall not affect the validity and binding nature of the rest of this Agreement and the remaining provisions, clauses, and terms thereof.
11 Artist’s Warranties
Artist represents and warrants that there are no outstanding agreements, and Artist has made no other arrangement, either oral or written, which will in any manner interfere with or prevent Artist from carrying out the terms and conditions of this Agreement.

Artist further agrees to indemnify and hold Manager harmless from all damages, liability, costs, losses, and expenses (including all costs and attorney’s fees) arising out of or connected in any way with any claim, demand, or action by Manager or any third party which is inconsistent with any of the undertakings, obligations, warranties, representations, or covenants made by Artist in this Agreement.
Pending the determination of any claim, demand, or action, Manager may, at its election, withhold payment of monies or other compensation otherwise due to Artist under this Agreement, or any agreement between Manager and Artist, in an amount not to exceed Artist’s potential liability to Manager hereunder. Artist shall be notified of any such claim, and any payments withheld, and Artist shall have a right, at Artist’s expense, to participate in the defense or negotiation of such claim or demand, with counsel of Artist’s choice.
All settlements of any such claims or demands shall be by mutual consent of Manager and Artist, such consent not to be unreasonably withheld. If payments withheld under this paragraph are not sufficient to secure Manager’s potential liability, Manager shall be entitled to settle such claim or demand without Artist’s consent, unless Artist provides Manager with additional security that, in Manager’s sole discretion, is sufficient to cover Manager’s potential liability.
12 Further Compliance
Artist hereby agrees to timely execute, acknowledge, and deliver all documents necessary to effectuate the intent of any provision of this Agreement. If Artist fails to do so within a reasonable time after written request therefore, Artist authorizes Manager and/or Manager’s designee to do so in Artist’s name, as Artist’s attorney in fact.
13 Notice
All Notices to be given pursuant to this Agreement shall be given in writing. Notices shall be sent to Manager and Artist as follows:

14 Modification

Except as otherwise specifically provided herein, this Agreement may not be modified or terminated except by an instrument in writing signed by both parties hereto. This Agreement shall be construed in accordance with the laws of the State of Oregon applicable to contracts executed and to be fully performed therein.
15 Breach
No party shall be in breach of this Agreement unless the other party shall first have delivered, in writing, a notice of breach of this Agreement, setting forth with particularity the acts or omissions which are alleged to constitute the breach, and 30 days have elapsed from the date of such notice without such acts or omissions being cured.

16 Arbitration
All differences, disputes, or controversies arising out of or in connection with this Agreement shall be submitted to arbitration before a sole arbitrator under the then prevailing rules of the American Arbitration Association. The location of any arbitration shall be Multnomah County, Oregon. The parties individually and jointly agree to abide by and perform any award rendered in such arbitration. Judgment upon any such award may be entered in any court having jurisdiction thereof.
17 Construction
When applicable, the term “Artist” shall apply jointly and individually to all members of a performing group entering this Agreement with the Manager. This Agreement and the rights and obligations of Artist hereunder shall apply with respect to each such member individually.
18 Independent Counsel
Artist expressly acknowledges that Artist has independently evaluated the terms and conditions contained herein and has sought the advice of independent legal counsel with respect thereto, and that Artist has not relied upon any representations of Manager and/or Manager’s representatives or agents, other than as contained herein, with respect to this Agreement.
19 Acknowledgments
The parties hereto, having read and understood all the terms and conditions of this Agreement, hereto affix their signatures to signify acceptance of and agreement to all the terms and conditions contained herein.
20 Termination
This Agreement may be terminated at any time by the written agreement of the parties as provided. Notwithstanding the foregoing and any other provision contained herein, the following Sections of this Agreement shall remain in effect and shall survive the termination of this Agreement:
1. Artist retains ownership of character, character name and image.
2. Manager will cease and desist managing Artist’s personal online presence.
3. Ownership of any websites and control of all accounts on third party platforms (such as OnlyFans) dedicated solely to Artist’s character shall revert to Artist.
